Addendum – Canada
This Addendum supplements and forms an integral part of the Master Terms of Service of Global Vision Direct Ltd t/a Artisan Furniture (“Seller”). Where there is any inconsistency, this Addendum prevails for all transactions conducted through the Seller’s Canadian operations, including its website www.artisanfurniture.ca and its fulfilment centre located in Brampton, Ontario.
1. Governing Law & Jurisdiction
1.1 These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
1.2 The courts of Toronto, Ontario shall have exclusive jurisdiction in respect of all disputes arising under this Addendum.
2. Warehouse & Fulfilment
2.1 All Goods destined for Canadian customers are dispatched from the Seller’s Canadian fulfilment centre in Brampton, Ontario.
2.2 Risk in the Goods passes to the Buyer upon handover to the carrier at Mississauga. Title passes only upon receipt of cleared payment in full.
2.3 Deliveries are free of charge across all ten provinces of Canada, subject to published surcharges for remote or inaccessible locations.
3. Pricing & Currency
3.1 All prices on www.artisanfurniture.ca are quoted in Canadian Dollars (CAD), exclusive of applicable taxes.
3.2 Buyer is responsible for all federal and provincial taxes, including GST, HST, and PST, where applicable.
3.3 Seller bears no responsibility for Buyer’s reporting or remittance obligations under Canadian tax law. Buyer indemnifies Seller for any liability arising from Buyer’s misreporting or non-compliance.
4. Canadian Compliance
4.1 Consumer Law Exclusion. These Terms govern strictly B2B contracts. Canadian consumer protection legislation, including any statutory warranties or cooling-off rights, does not apply.
4.2 Privacy. The Personal Information Protection and Electronic Documents Act (PIPEDA) applies only to consumer data. Seller processes only limited business contact data, subject to its Privacy Policy.
4.3 Quebec Language & Packaging Laws. Where Goods are resold into Quebec, the Buyer is solely responsible for ensuring bilingual packaging, labelling, and consumer disclosures in compliance with Quebec law.
4.4 Import Duties. Buyer remains liable for all import duties, customs clearance, and brokerage fees associated with shipments into Canada.
5. Returns (Canada-Specific Procedure)
5.1 All returns must be initiated via the Buyer’s trade account portal under “My Returns” within 2 business days of delivery. Returns submitted via email will not be accepted.
5.2 Collections will only be arranged from the original delivery address. If Goods are moved, the return stands void.
5.3 Approved returns must be shipped back to the Brampton fulfilment centre. Goods returned to any other facility may be rejected.
5.4 Refunds, where approved, will be issued in CAD to the original payment account only.
6. Special Notes for Canadian Buyers
6.1 Taxes. Buyer must comply with all federal and provincial tax obligations, including maintaining valid GST/HST numbers if applicable.
6.2 Quebec Compliance. Seller provides Goods in English-language packaging unless otherwise arranged. Buyer is solely responsible for Quebec-specific language compliance.
6.3 Data Protection. Buyer, as data controller of its end-customers, remains responsible for lawful processing of personal data under PIPEDA and any applicable provincial privacy statutes.
6.4 Free Delivery Scope. Free delivery applies only within Canada. Cross-border exports or re-shipments from Canada are entirely at Buyer’s risk and cost.
Must be construed together with the Master Terms & Conditions.
Applies concurrently with the applicable Regional Addendum.
Constitutes an incorporated part of the Compliance & Policies Hub obligations.
